The Chairman’s Office Europe and North Africa (COE) is supporting and coordinating our operating units, R&D centres, and representative offices across Europe and North Africa with corporate functions and services. Your tasks:

  • Provide legal advice and support in relation to M&A projects (buy-side) and transversal projects within the Group
  • Draft, analyze and review contracts and other legal documentation, such as NDAs, share / asset purchase agreements, JV agreements, shareholder agreements, put option agreements, etc. and support respective negotiations
  • Support the review, preparation and execution of non-binding offers, binding offers and related documentation for M&A projects
  • Coordinate and lead the legal due diligence for the M&A process through both in-house review and external support where required
  • Support the coordination/execution of critical legal pre-closing or post-closing conditions for M&A projects
  • Assist, coordinate and consult in legal discussions / proceedings related to M&A and internal transversal projects
  • Liaise with external counsel and coordinate external legal support in relation to M&A / internal transversal projects
  • Coordinate the legal workstream in the integration of newly acquired companies into the Group
  • Work together closely with the M&A, Strategy, Finance, Tax, Insurance, and HR teams, among others, throughout the M&A or internal transversal projects processes, from initial evaluation all through signing/closing and integration
  • Support the COE Legal Affairs team on administrative and any other assigned matters

Your profile:

  • Fully qualified lawyer, preferably in an EU country
  • Deep knowledge in EU law. Familiar with local and international corporate laws and regulations
  • Ideally initial experience in a similar role for about 2 / 3 years
  • Experienced in an international working environment. Ability to establish and maintain good working relationships within a multicultural environment.
  • Flexibility, team spirit, ability to work under pressure
  • Good negotiation, communication, and presentation skills
  • Fluent English and any EU language (German is a plus)
